01 Scope

These terms govern the automation services agreed via frederikdaneels.com, offered by Extra Paar Handen UG (haftungsbeschränkt), represented by Frederik Daneels ("I", "me"), to you as a client ("you").

My services are for businesses only: companies, self-employed professionals and organisations acting for their trade, business or profession. I do not contract with consumers.

The agreement between us consists of the written proposal you accept (the "Proposal") and these terms. If they conflict, the Proposal prevails. Your own general terms do not apply. For the Inschrijvingsplatform, separate terms of use apply (English, Nederlands); for that service they take precedence over these terms.

02 Services

I build automations that connect the tools you already use, mostly on Make.com or n8n, and I can monitor, fix and extend them afterwards. The Proposal sets out what I build, what it costs and in which form:

• Monthly partnership: a monthly fee for building and maintaining your automations, with new automations scoped together as your business grows.
• Project: a fixed price for a defined piece of work, delivered in agreed steps, followed by a period of aftercare. Maintenance after that is agreed separately in the Proposal.

I commit to doing the work with care and professional skill. I do not promise a particular business result, such as time saved or revenue gained.

03 How We Start

• You book a free audit call describing what's costing you manual time.
• I send a Proposal: what I build first, what it replaces, the price and how payment works.
• Once you accept the Proposal in writing (email is fine), I send the first invoice. Work starts once it is paid.
• I build and test the automation, in a test or shadow mode first where possible, and switch it live only after your go-ahead.
• You get documentation of what was built, available in the client portal.

04 Your Responsibilities

You keep active accounts and subscriptions for your own tools (e.g. Make.com, your CRM, invoicing software) and pay for them. These costs are not included in my fee. You provide the access and information I need in time; delays on your side may delay delivery or fixes. You are responsible for the data you put into your tools and for the content of the messages your automations send.

05 Pricing & Payment

There is no fixed public price. Prices, payment steps and the rate for any work outside the agreed scope are the ones in the Proposal. Prices are in EUR and exclude VAT unless stated otherwise. Invoices are payable within 14 days of the invoice date, via the payment method stated on the invoice. Late payment carries statutory interest for commercial transactions; after a written reminder I may pause work until the invoice is paid.

06 Delivery & Changes

Delivery dates are agreed in the Proposal or confirmed in writing once scope and access are clear. Changes to the agreed scope are made only after we agree on them in writing, including any effect on price or timing.

07 Support

You report problems and questions via the client portal (tickets or chat) or by email to the address in section 14. Support hours are Monday to Friday, 8:30 to 12:00 Belgian time, except Belgian public holidays. Automated monitoring alerts me to failures outside those hours as well.

08 Duration & Cancellation

• Monthly partnership: runs month to month with no fixed term. You can cancel at any time in writing; the partnership ends at the close of the month already paid for, and no further invoices follow.
• Project: runs until delivery and the end of the aftercare period in the Proposal. If you stop a project early, you pay for the steps already invoiced and the work done since.
• Amounts already paid are not refunded.
• Either party may end the agreement with immediate effect if the other seriously fails to meet its obligations and does not fix this within 30 days of a written notice, or in case of bankruptcy or liquidation.

09 Liability

My total liability for all damage together is limited to the fees you paid me in the 12 months before the event that caused the damage. I am not liable for indirect damage, such as lost profit or revenue, lost data you could have restored yourself, or loss of customers.

I am not liable for outages, changes or pricing of third-party platforms (e.g. Make.com, n8n, or the tools your automations connect to), or for damage caused by your own settings, data or instructions.

These limits do not apply to damage caused intentionally or by gross negligence, or to injury to life or health. You report any damage in writing within 6 months of becoming aware of it.

10 Confidentiality & Data

Access, credentials and business information you share are used solely to deliver the agreed service. They are not shared with third parties beyond what's needed to build and support it, and stay confidential for 3 years after the agreement ends. Where I process personal data on your behalf, I do so as your processor; see the privacy policy for the processors involved.

11 Ownership

Automations I build inside your own Make.com or n8n account are yours once the related invoices are paid, and keep running there if our agreement ends. They are then no longer maintained by me.

What runs on my own infrastructure, such as the client portal, the client documentation and any connectors I host, stays mine. When the agreement ends, you get your data and an export of what's yours. I may reuse general know-how and methods for other clients, without your data or confidential information.

12 Force Majeure

Neither party is liable for a failure caused by events beyond its reasonable control, such as a large-scale outage at a hosting provider or of the internet, a cyberattack despite reasonable security, a natural disaster or a government measure.

13 Governing Law & Jurisdiction

These terms are governed by Belgian law. We first try to solve any dispute together; if that fails within 30 days, the courts of Ghent (Gent), Belgium, have jurisdiction.

15 Changes to These Terms

These terms may be updated from time to time. The version in effect when you accepted your Proposal applies to it; a newer version applies to you only once you agree to it in writing.
